KEYNOTE TOPIC SUMMARY Although the environment of venture capital financing remains unsettled, there is a renewed sense of optimism regarding the financing of start-up and early stage technology companies. Given the changing climate, it is important for those involved in private equity financings to be aware of the current trends and important legal issues concerning such transactions. This presentation, by two of the leading practitioners in the area of private equity financing, will discuss current Canadian and U.S. trends concerning the financial terms of venture capital financing transactions as well as address recent case law of relevance to both technology companies and venture capitalists. |

ABOUT THE SPEAKERS Tom Houston is the managing partner of the Ottawa office of the law firm of Fraser Milner Casgrain LLP. Fraser Milner Casgrain LLP is one of the largest law firms in Canada with offices in Montreal, Ottawa, Toronto, Edmonton, Calgary, Vancouver and New York. Tom's practice focuses almost exclusively on technology companies, ranging from start-ups to companies publicly traded in both Canada and the U.S. He has acted for issuers and VCs on a significant number of venture capital transactions, and Fraser Milner Casgrain LLP continues to be one of the leading law firms in Ottawa in terms of the number of VC deals in which it has acted for either the company or the investor, and the aggregate dollars raised in such deals. Tom has also acted on a number of cross-border acquisitions of Canadian technology companies as well as private placements and public offerings. Tom is recognized as a leading practitioner in the LEXPERT Legal Directory in the areas of Corporate Finance & Securities, Corporate Commercialand Technology. He has spoken at several conferences on the aforementioned topics. Tom is the Vice-Chairman of the Ottawa Technology Lawyers Group. He is a former part-time professor (Securities Regulation), and has taught the mergers and acquisitions module of the major business transactions course, at the University of Ottawa Faculty of Law.
